Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") govern your access to and use of the Minute Minyan application for iOS and Android, the website at minuteminyan.com, and any related services (together, the "Service"), operated by Sheer Will LLC ("Sheer Will," "we," "us," "our," or the "operator"). Minute Minyan is a curated, invitation-based "closed community" tool for coordinating a minyan — the Jewish prayer quorum. Members post minyan listings and participate in coordinating in-person gatherings, so the Service hosts user-generated content.

1.Acceptance of these Terms & zero tolerance for objectionable content

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not access or use the Service. If you use the Service on behalf of a congregation, organization, or group, you represent that you have authority to bind that group.

There is zero tolerance for objectionable or abusive content or behavior. Objectionable content includes, without limitation, harassment, threats, hate speech, bullying, impersonation, spam, sexually explicit or exploitative material, and anything unlawful. Content that violates this standard is removed, and users who post it or who behave abusively are ejected from the community. By using the Service you acknowledge and accept this standard.

2.Curated community & content filtering

The Service is a curated, invitation-based closed community. Membership is not open to the general public and is not guaranteed. To protect the integrity of the community, members and captains (the role of "Rosh Minyan") are admin-approved after identity vetting, which includes a selfie and phone verification reviewed by an authorized admin.

Applications, listings, and members are moderated. We may review, filter, restrict, or remove any listing or member, and we may screen new applicants before granting access.
Access, membership, and elevated roles such as Rosh Minyan are granted at the operator's sole discretion, and may be declined or revoked at any time, with or without notice.
Being invited to apply does not entitle you to acceptance, and prior acceptance does not entitle you to continued access.

3.Reporting objectionable content or users

If you encounter objectionable content, abusive behavior, or a member who violates these Terms, you can report it:

In the app: use the built-in report control on a listing, profile, or member.

We are committed to acting promptly — we aim to review reports within 24 hours — and will take the action we consider appropriate, which may include removing the content and ejecting the responsible user from the community.

4.Blocking other users

You can block any member you find abusive or unwanted. Blocking a member limits your interaction with them within the Service. Blocking is independent of reporting — you may block a member whether or not you also report them, and we encourage you to report abusive behavior so we can act on it for the whole community.

6.Removal, suspension & termination

We reserve the right, at our discretion and with or without notice, to remove listings or restrict participation, and to revoke membership or Rosh Minyan (captain) status, including for any violation of these Terms. You may also stop using the Service at any time and delete your account (see Section 8).

Captain removal cancels their minyanim. When a captain's (Rosh Minyan's) account is removed, the minyanim they organized are cancelled and affected members are notified so the community isn't left relying on a listing that will no longer take place.

Provisions that by their nature should survive termination — including acceptable use, license terms, disclaimers, limitation of liability, and governing law — survive.

7.Your content, license grant & responsibilities

The Service lets members post and share content — for example, minyan listings, times, locations, and headcounts — and participate in coordinating gatherings ("User Content"). You are solely responsible for the User Content you post, and you represent and warrant that you are entitled to post it and that it does not violate these Terms, any law, or the rights of others.

You grant the operator a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your minyan listings and related User Content within the Service for the purpose of operating the Service and coordinating minyanim. This license ends when the content is removed or your account is deleted, except for residual copies in backups and where retention is required by law.

You agree that you will not, and will not permit or encourage others to:

infringe any copyright, trademark, or other intellectual-property or proprietary right;
post threats, or harass, intimidate, bully, or abuse any member;
impersonate any person or organization, or misrepresent your identity or affiliation;
scrape, harvest, crawl, or use automated means to collect data from the Service;
misuse other members' information — especially locations and addresses — including collecting, storing, publishing, or sharing it outside the Service, or using it for anything other than coordinating a minyan;
use the Service for any unlawful purpose, or interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.

8.Account deletion & your data rights

You may permanently delete your account and associated data at any time:

In the app: Settings → Delete Account.
On the web: minuteminyan.com/delete-account.html.

Deletion includes a 5-day grace period during which the request can be cancelled before your data is permanently removed. You may also request a copy of your data or request its deletion, and we will honor that request. 9.Important safety notice — no guarantee from vetting or curation

Please read this carefully. Our identity vetting — including the selfie, phone verification, and admin approval — and our curated, invitation-based model are curation measures only. They are designed to help maintain the community, but they are NOT a guarantee of any user's identity, character, background, trustworthiness, or safety, and they are not a background check. We do not routinely perform background checks, and we do not represent that we have done so for any member. We reserve the right, in our sole discretion and where permitted by law, to conduct additional screening or a background check on any applicant or member — but we are under no obligation to do so, and no member may request, require, or rely on our performing any screening or background check on themselves or on any other member. If you are not comfortable participating without such screening, your sole remedy is to withdraw from the Service and delete your account.

We do not verify or vouch for any member's identity, character, or intentions, and we make no promise of safety or security. You interact with other members and attend in-person gatherings at your own risk, and you are responsible for exercising your own judgment and caution. The Service is provided on an "as is" and "as available" basis, and we are not responsible for the conduct of members — online or in person — or for what happens at any minyan, gathering, or meeting arranged, discovered, or coordinated through the Service.

Assumption of risk. Minute Minyan helps members discover and coordinate in-person gatherings, which necessarily involves sharing and receiving locations and addresses and meeting other members face to face. You understand and agree that you attend, host, and travel to and from any minyan or gathering — and that you share or use any location, address, or contact information obtained through the Service — entirely at your own risk.

We are not a party to member arrangements. Any minyan, gathering, or meeting arranged, discovered, or coordinated through the Service is solely between the members involved. Sheer Will LLC does not organize, supervise, host, attend, or control these gatherings, and is not a party to any offline arrangement made through the Service.

No responsibility for the conduct of members. To the fullest extent permitted by law, Sheer Will LLC is not responsible or liable for the acts or omissions of any member or other person, whether online or in person — including any harassment, abuse, theft, property damage, injury, violence, or other harm — arising out of or relating to your use of the Service, the sharing or use of any location or address, or your attendance at or travel to any gathering. This remains true even where a member obtained your location, address, or other information through the Service.

Release. To the fullest extent permitted by law, you release and hold harmless Sheer Will LLC and its owners, officers, employees, and partners, together with the captains (Rosh Minyan) and hosts who organize minyanim, from any and all claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees), known or unknown, arising out of or in any way connected with (a) the conduct of any member or other person, (b) any minyan, gathering, or meeting, or (c) any use of a location, address, or information obtained through the Service. If you are a California resident, you expressly waive California Civil Code § 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

10.Eligibility & age

You represent that you are at least 18 years old (or the age of majority in your jurisdiction, if greater). Because the Service coordinates in-person gatherings at real locations, it is intended for adults. The Service is not directed to anyone under 18, and we do not knowingly permit their use; if we learn that a user is under 18, we may suspend or remove the account.

You must have the legal capacity to enter into these Terms, and you must not be barred from using the Service under any applicable law.
If you use the Service on behalf of a congregation, organization, or group, you represent that you are authorized to bind it to these Terms.

11.Accounts & security

You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for keeping your device (including your phone) secure and for all activity under your account.
Each person may hold one account. Sharing, transferring, or selling accounts is not permitted.
Notify us promptly at support@minuteminyan.com if you believe your account has been compromised.

12.Disclaimers & limitation of liability

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, accurate, or error-free, and we make no warranty regarding the conduct of members or the outcome of any gathering.

To the fullest extent permitted by law, in no event will the operator, its owners, employees, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the total amounts you have paid us, if any, in the twelve (12) months before the event giving rise to the liability, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you.

13.Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Sheer Will LLC and its owners, officers, employees, and partners from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms, any law, or the rights of any other person; (d) your conduct in connection with any minyan, gathering, or meeting; and (e) your collection, sharing, or use of any other member's location, address, or information. We may assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

14.Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect means you accept the updated Terms.

15.Governing law & venue

These Terms are governed by, and will be construed in accordance with, the laws of the State of California, without regard to its conflict-of-laws rules. You and the operator agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
